TEMPLATE — HAVE COUNSEL REVIEW. This text is a starting point written for the Voxa marketing site and console. It is not legal advice and has not been reviewed by a lawyer. Have qualified counsel review and adapt it for your company and your jurisdictions before publishing it as your terms.

These terms govern the use of the Voxa platform operated by Voxa ("we"): the console, the voice, video and text agents built with it, the public API, the web SDK and widget, and this website (together, the "Services"). By creating an account or using the Services you agree to them on behalf of yourself and the organization you act for.
1. Accounts and organizations
You need an account to use the console. Everything you create belongs to an organization; an organization's admins control its members, roles, billing and settings. You are responsible for keeping your sign-in details confidential and for what happens under your account.
2. Your content and your agents
You keep ownership of the prompts, knowledge files, phone numbers, recordings, transcripts and other content you bring to or create with the Services. You grant us the rights needed to store, process and transmit that content to provide the Services, including to the model, speech and telephony providers you choose. You are responsible for the content and behaviour of the agents you deploy: the notices and consents your callers need, do-not-call rules, the lawfulness of outbound campaigns and text messages, and the accuracy of what your agents say.
3. Acceptable use
You will not use the Services to break the law, to call or text people without the consent the law requires, to impersonate a person or organization without authorization, to collect payment or health information outside the features built for it, to interfere with the Services or other customers, or to build a competing product by copying them. We may suspend an organization that creates a risk for callers, other customers or the platform, and will tell you why.
4. Fees and credits
Usage is billed per minute, per message and per feature as described on the pricing page and in your organization's billing settings: prepaid credits, plans with included minutes, overage and pay-as-you-go rates. Prices exclude taxes. Starter credits and the free plan have the limits shown in the console. Plan subscriptions renew until cancelled; cancellation takes effect at the end of the paid period. Unused prepaid credits are not refunded except where the law requires it.
5. Third-party services
Providers you connect with your own account (telephony, calendars, CRMs, payment processors, messaging apps) are governed by their own terms, and their fees are yours. Our subprocessors are listed on the trust page at /trust#subprocessors.
6. Privacy and security
Our privacy policy (/privacy) explains what we collect and why. Healthcare customers who need a business associate agreement can request and sign one in Organization settings; HIPAA mode on an assistant needs an active agreement.
7. Availability and support
We aim to keep the Services available and announce maintenance in advance where we can, but we do not promise uninterrupted availability except where a written service level agreement says so. Support is provided at the level of your plan.
8. Intellectual property
The Services, their software, documentation and brand are ours or our licensors'. These terms give you no rights in them beyond using the Services as described.
9. Disclaimers and limitation of liability
The Services are provided as is. Agents built on language models can make mistakes; you are responsible for reviewing their configuration and for the decisions made on the basis of their output. To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability for claims arising from the Services in any twelve-month period is limited to the fees you paid for them in that period.
10. Termination
You can delete your organization and account at any time from the console. We may terminate or suspend access for a material breach of these terms that is not cured within thirty days of notice, or at once where a breach creates a risk for others. After termination your content is deleted according to the retention periods in effect.
11. Changes to these terms
We may update these terms. The version and date appear at the top; material changes are announced in the console or by email at least thirty days before they take effect. Continued use after that date is acceptance of the new terms.
12. Governing law and contact
These terms are governed by the laws of the place where Voxa is established (to be completed by counsel). Questions about these terms go to the security contact on our trust page (/trust#contact).
